Welcome to Hidoc Consult Terms and Conditions. Hidoc Consult is an Application/Website by Hidoc Dr. Inc. Hidoc Consult ("Hidoc", "we", "us" or "our") is an AI-based tool exclusively designed for clinicians including medical students, resident doctors, primary care providers, and other primary healthcare providers ("Users", "you", "your") to furnish answers to their medical inquiries.

Please read these terms and conditions (the "Terms") carefully as they govern your use of the Services provided by Hidoc and create a binding contract. By accessing or utilizing any portion of the Services, you acknowledge that you have read, understood, and agreed to be legally bound by these terms. If you do not agree to these terms, please exit this page and refrain from accessing or using the services. Your use of the Services is expressly conditioned upon your acceptance of these Terms.

The Services
  • These Terms govern the use of Hidoc Services (the "Services"), which are provided through Hidoc Consult- Application/Website, as updated from time to time.
  • You acknowledge and agree that the use of Hidoc Consult- Application/Website is limited to clinicians with relevant medical knowledge and expertise.
Hidoc Account
  • Hidoc offers Services to you, provided that you are atleast 18 years of age to form a binding contract and are not a person barred from receiving the Services under the laws of United States of America or other applicable jurisdictions.
  • In order to access the Services, (i) an individual may be required to provide current, accurate identification, contact, and other information (ii) an institution may be required to give details about the said institution, for the registration process and/or continued use of Hidoc Services.
  • Your login information including but not limited to your name, phone number, email id, registration number, city, state, country and self-photo, is strictly confidential and you are responsible for maintaining the confidentiality of your login credentials and are responsible for all activities that occur under your account.
  • 2.4 You agree to immediately notify us of any unauthorized use of your password or account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to provide us with accurate information or to keep your password secure.
User Privacy
  • Our Privacy Policy explains how Hidoc treats your personal data and other information and protects your privacy.
  • By accessing or using the Hidoc Consult- Application/Website, you agree that Hidoc can use such data and information pursuant to and in accordance with its Privacy Policy.
User Obligations
  • Mandatory Patient Consent: In cases where the Services are utilized to obtain information or insights related to specific patient scenarios, you acknowledge and agree that obtaining proper patient consent is mandatory. Hidoc emphasizes the importance of adhering to medical ethics and legal regulations in obtaining patient consent for sharing any patient-specific information, data, or case details.
  • Medical Ethics and Legal Obligations: You understand that patient consent is required in compliance with applicable medical ethics guidelines and legal requirements. Patient confidentiality and privacy must be respected, and you are solely responsible for ensuring that you have obtained the necessary patient consent before sharing any patient-related information with Hidoc.
  • No Sharing of Identifiable Information: You shall not share or misuse any personally identifiable information on any patient information or sensitive medical details with Hidoc without obtaining explicit patient consent. Hidoc shall not be held liable for any misuse, unauthorized sharing, or breaches of patient confidentiality resulting from your failure to obtain proper patient consent.
  • Under Errors & Omissions and Subheading Updates and Revisions: "It is the responsibility of the User to be regularly updated on any such modifications, revisions or changes that may occur, from time to time." may be added.
Permission
  • Hidoc gives you a limited, revocable, non-exclusive, non-transferable, permission, subject to these Terms, to install, access and use the Services through the Hidoc Consult Application/Website.
Subscription & Payment
  • Subscription : The Services may be provided on a subscription basis, allowing you to access the features and capabilities of the Hidoc Consult Application/Website for a defined period. By opting for a subscription, you acknowledge your commitment to paying the corresponding subscription fees.
  • Payment: : To activate and maintain your subscription, you will need to provide accurate and current payment information. This includes credit card details or any other authorized payment method like Debit Cards/Net Banking/Wallets acceptable by Hidoc. By providing such information, you grant Hidoc the permission to charge the subscription fees to your designated payment method.
  • Renewal: : Your subscription will automatically renew at the conclusion of each subscription period, which is typically on a monthly or annual basis ("Subscription Period"), depending on the subscription plan you've chosen. This automatic renewal ensures continuous access to the Service without any disruption. If you wish to discontinue the Service, it's your responsibility to cancel your subscription before the renewal date. You can make changes to your subscription settings, including opting out of automatic renewal, from your account settings on the Hidoc Consult Application/Website
  • No Cancellation: : Once a subscription is activated, you acknowledge that you are committed to the subscription for the entire duration of the subscription period. You are not allowed to cancel the subscription before the end of the Subscription Period. This no-cancellation policy applies to all subscription plans offered by Hidoc.
  • Price Changes: Please be aware that subscription fees mentioned in clause 6.1 may be subject to change. Should there be any adjustments to the subscription fees, you will receive prior notice. Your continued use of the Services and the Hidoc Consult Application/Website after receiving such notification will signify your acceptance of the revised subscription fees.
Disclaimer of Warranties
  • You acknowledge and accept that no warranties are provided by us regarding the Hidoc Consult- Application/Website. The Hidoc Consult- Application/Website is made available in its current state and according to its current availability. To the maximum extent permitted by applicable law, we explicitly renounce all forms of warranties, declarations, and assurances, irrespective of whether they are spoken or written, express or implied, mandated by statute, or otherwise. This includes, but is not limited to, implied warranties of marketability, suitability for specific purposes, and non-violation.
  • You recognize that Hidoc Consult- Application/Website is inherently prone to defects, flaws, and errors. We do not provide any warranty or assertion that the Hidoc Consult- Application/Website will be entirely devoid of defects, flaws, and errors. You acknowledge and accept that Hidoc Consult- Application/Website may generate incorrect information or harmful instructions. In such cases, we cannot be held responsible for the accuracy or reliability of such information. We do not assume any liability or take responsibility for any actions you may take based on such information.
  • By using Hidoc Consult- Application/Website, you may be exposed to content that you may find offensive, objectionable, harmful, inaccurate or deceptive. By using Hidoc Consult- Application/Website, you assume all associated risks.
  • You acknowledge that Hidoc Consult- Application/Website can never be entirely immune to security vulnerabilities. We do not provide any warranty or assertion that the Hidoc Consult- Application/Website will be completely secure.
  • You comprehend that we do not assure any specific response time frame, but we will make reasonable endeavours to promptly address your queries.
Errors and Omissions
  • Accuracy of Information: As stated, while we strive to provide accurate and up-to-date information through our Hidoc Consult Application/Website, we cannot guarantee the absolute accuracy, completeness, or reliability of the responses generated. We shall not be held liable for any errors, omissions, or inaccuracies in the information provided by the Hidoc Consult- Application/Website.
  • No Medical Advice: The information and responses provided by the Hidoc Consult Application/Website are intended for informational/consultancy purposes only and should not be considered as a substitute for professional medical advice, diagnosis, or treatment.
  • User Discretion: You acknowledge that your use of the Hidoc Consult Application/Website is at your own discretion and risk. We do not assume responsibility for any decisions made based on the information provided by the Hidoc Consult- Application/Website.
  • Updates and Revisions:We reserve the right to update, revise, or modify the Hidoc Consult Application/Website and its responses to improve accuracy and relevancy. However, we shall not be obligated to notify users of every update or change.
Prohibited Content
  • Responsible Usage: While using the Hidoc Consult- Application/Website, you are prohibited from generating, submitting, or sharing content that is unlawful, harmful, fraudulent, misleading, or in violation of any applicable laws or regulations.
  • No Medical Advice: You are expressly prohibited from using the Hidoc Consult- Application/Website to seek or provide personal medical advice, diagnosis, or treatment recommendations. The Hidoc Consult- Application/Website is intended for consultation and informational purposes only, as outlined in clause 8.2.
  • Offensive or Harmful Content: Content that is defamatory, abusive, obscene, threatening, or promotes hate speech, discrimination, violence, or harm towards individuals or groups is strictly prohibited.
  • Unauthorized Content: Content that infringes upon intellectual property rights, including copyrights, trademarks, patents, or trade secrets, without proper authorization or consent is strictly prohibited
  • Malicious Content: : Content that contains viruses, malware, or any other harmful code that may disrupt, damage, or compromise the functionality or security of the chatbot or any other system is strictly prohibited.
  • Misleading or Fraudulent Content: Content that promotes false information, scams, phishing attempts, or deceptive practices is strictly prohibited
  • Disruption: You shall not engage in activities that disrupt the operation, functionality, or security of the Hidoc Consult- Application/Website or any associated systems.
  • Personal Information: Content that includes personally identifiable information of patients/individuals without their consent or in violation of privacy laws is strictly prohibited.
  • Monitoring and Enforcement We reserve the right to monitor and review user-generated content within Hidoc Consult- Application/Website and may take appropriate actions, including but not limited to, removing or blocking access to prohibited content, suspending or terminating your account/s, and reporting illegal activities to the relevant authorities.
Indemnification
  • You agree to hold harmless and indemnify Hidoc, and its subsidiaries, affiliates, officers, agents, employees, advertisers, licensors, suppliers or partners, (collectively "Hidoc and Partners") from and against any third party claim arising from or in any way related to your use of Services, violation of the Terms or any other actions connected with use of Hidoc Consult- Application/Website, including any liability or expense arising from all claims, losses, damages (actual and consequential), suits, judgments, litigation costs and attorneys' fees, of every kind and nature.
Limited Liability
  • Hidoc is not liable to you or any third party for any damages (including, without limitation, direct, indirect, incidental, special, consequential, exemplary, incidental, special, or punitive damages, personal injury/wrongful death, lost profits, Goodwill, use data or other intangible losses (whether or not we have been advised of the possibility of such damages) or damages arising from or relating to these Terms of use or use or inability to use the Hidoc Consult- Application/Website (including damages resulting from lost data or business interruption), even if we have been advised of the possibility of such damages, whether resulting from:

      1. The use of or inability to use the Hidoc Consult- Application/Website, whether based on warranty, contract, tort, or any other legal theory,

        Any delay, failure, interruption or corruption of our Hidoc Consult- Application/Website or any data or information transmitted in connection with the use of the Hidoc Consult- Application/Website,

        Personal injury or death caused by your use or misuse of the Hidoc Consult- Application/Website,

        The cost of procurement of substitute goods and services resulting from your use of any goods, data, information or services purchased or obtained or messages received or transactions entered into, through or from the Hidoc Consult- Application/Website,

        Unauthorized access to or alteration of your login credentials or other personal information,

        Statements or conduct of any third party on the Hidoc Consult- Application/ Website,

        Any lost profits of Users for spending any time on the Hidoc Consult- Application/Website or any articles, information or comments posted on the Hidoc Consult- Application/Website or,

        Any other matter relating to the Hidoc Consult- Application/Website.

  • You acknowledge that this clause 11 shall apply to all content and Services available through the Hidoc Consult- Application/Website. Your access to, and use of, the Hidoc Consult- Application/Website is at your own risk and you are solely responsible for any damage to your computer, device, system, or data.
  • Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages. Therefore, the above limitation may not apply to you. In such cases, our liability shall be limited to the fullest extent permitted by law.
Termination
  • We reserve the right to terminate or suspend these Terms at any time without providing prior notice to you. This includes the right to immediately terminate your access to the Services and Hidoc Consult- Application/Website in circumstances where we, at our sole discretion, deem your conduct to be unacceptable or if you breach these Terms.
  • Termination will not curtail any of our other entitlements or remedies. Any stipulation that needs to persist to uphold the true intent and purpose of these Terms will persist beyond termination.
  • The cessation of our association will nullify any rights and licenses granted to you in these Terms. In such an instance, you must promptly cease using the Hidoc Consult- Application/Website. Any clauses of these Terms that, due to their inherent nature, endure after termination will indeed persist
  • 12.4 We hold no responsibility to retain any of any patient-specific information, data, or case details provided by you, subsequent to termination. You concur that we are not obligated to retain such information following the closure of your account, and we retain the authority to permanently erase such information.
Intellectual Property
  • You acknowledge that the "Content", including but not limited to text, graphics, photographs, trademarks, logos, icons, user interfaces, sounds, music, videos, artwork, software, and computer code/source code, present on the Hidoc Consult- Application/Website is either owned by Hidoc or licensed to Hidoc. You understand that this Content is protected by copyright, patent, trademark, trade dress, and other intellectual property and unfair competition laws.
  • Unless expressly permitted by applicable laws or with an explicit prior written consent from us, you are prohibited from copying, distributing, reproducing, mirroring, framing, publicly displaying, publicly performing, translating, creating derivative works of, republishing, or transmitting the Application/Website or Content (in whole or in part) in any manner or through any medium for purposes of distribution, publication, or any commercial use.
Governing Law & Jurisdiction
  • Unless expressly permitted by applicable laws or with an explicit prior written consent from us, you are prohibited from copying, distributing, reproducing, mirroring, framing, publicly displaying, publicly performing, translating, creating derivative works of, republishing, or transmitting the Application/Website or Content (in whole or in part) in any manner or through any medium for purposes of distribution, publication, or any commercial use.
  • The parties irrevocably agree that all disputes, claims, and controversies arising from or relating to your access to and/or use of the Hidoc Consult- Application/Website, shall be subject to the exclusive jurisdiction of the courts of Wyoming, USA.

  • Any required or permitted notices hereunder must be given in writing

        if to you, by e-mail to the e-mail address with which you registered for the Hidoc Services.
Changes
  • We are entitled to change these Terms from time to time. We will notify you of changes to the Terms by posting them on the Hidoc Consult- Application/Website or in any other way we deem appropriate.
  • Any such change shall be effective immediately upon such notification or posting (as applicable). By continuing to use the Services and the Hidoc Consult-Application/Website, following a change, you are accepting such change.
  • We may also change or discontinue, temporarily or permanently, any feature or component of the Hidoc Consult-Application/Website at any time, with or without notice.
Force Majeure
  • Hidoc accepts no responsibility for and shall not be liable in respect of any loss or damage or alterations, delay or changes arising from unusual and unforeseeable circumstances beyond our control, such as war or threat of war, riot, civil strife, industrial action, dispute including air traffic control, terrorist activity, natural and nuclear disaster, fire or adverse weather conditions, technical problems with transport, closure or congestion of airports, stations or ports, cancellations of schedules by schedule airline or train operator.
  • 17.2 Where Hidoc is unable to carry out any obligation under these Terms due to any circumstance, matter or thing beyond its reasonable control ("Force Majeure"), Hidoc shall be excused from such obligations to the extent of such prevention, restriction or interference so caused.
Miscellaneous
  • Entire Agreement: These Terms, along with any operating rules established by us for the Hidoc Consult- Application/Website, constitute the complete agreement between the parties regarding the subject matter discussed herein, and they supersede all previous written or oral agreements between the parties concerning such subject matter
  • No Waiver: The failure of either party to waive any breach or default under these Terms shall not be considered as a waiver of any prior or subsequent breach or default.
  • Severability: If any portion of these Terms is deemed invalid or unenforceable by a court of competent jurisdiction, it shall be replaced with language that reflects the original intent in a valid and enforceable manner. The remaining provisions of these Terms will remain binding on the parties.
  • Assignment: You are not permitted to transfer any of your rights or responsibilities outlined in these Terms, whether by legal mandate or otherwise, without obtaining our prior written agreement. On the other hand, we hold the prerogative to assign our rights and obligations as laid out in these Terms at our sole discretion. This may involve assigning to an affiliated entity, as part of an acquisition, sale, merger, or for any reason we deem fit, with or without prior notification.
  • Independent Contractor: Through these Terms or your utilization of the Hidoc Consult- Application/Website , you acknowledge and agree that there exists no joint venture, partnership, employment, or agency affiliation between you and Hidoc.
  • Statute of Limitations: You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the use of the Services or the Hidoc Consult- Application/Website must be filed within one (1) year after such claim or cause of action arose or be forever barred.
  • Headings: You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the use of the Services or the Hidoc Consult- Application/Website must be filed within one (1) year after such claim or cause of action arose or be forever barred.
